TERMS OF SERVICE

OVERVIEW

Welcome to Grateful Hoosier. In these Terms of Service, “we,” “us,” and “our” mean Grateful Hoosier.

We operate this website and online store, including its content, products, features, and related services, collectively referred to as the “Services.” Our store uses Shopify’s ecommerce platform.

These Terms of Service, together with the policies they reference, describe the conditions for using the Services and purchasing from us. Please read them carefully, including the provisions concerning warranties, liability, and your responsibilities.

By accessing or using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, please do not use the Services.

SECTION 1 - ACCESS AND ACCOUNT

You represent that you have reached the age of majority where you live. If you allow a minor dependent to use the Services on a device you own or manage, you are responsible for providing any required consent and supervising that use.

When you create an account or place an order, you must provide accurate, current, and complete information. This includes your name, contact details, payment information, and shipping address. You must have the authority to provide and use that information.

Keep your account credentials secure. You are responsible for activity conducted through your account and should contact us promptly if you suspect unauthorized access. You may not sell, transfer, assign, or license your account to another person.

SECTION 2 - OUR PRODUCTS

We aim to describe and display our products accurately. However, screen settings, lighting, photography, and device differences can affect how colors and other product details appear.

Products are made to order. Review the product description, size guide, selected options, and shipping information before purchasing. A product’s appearance on your screen does not guarantee an exact visual match to the finished item.

We may update product descriptions, change available options, limit quantities, or discontinue products. Availability may also vary by destination. These provisions do not remove any rights or remedies that applicable law gives you for defective or incorrectly described products.

SECTION 3 - ORDERS

Submitting an order is an offer to purchase. We may accept or decline that offer, subject to applicable law. An order is accepted when we confirm acceptance, and payment must be successfully processed.

Please check your selections and shipping address before submitting your order. Because products are made to order, changes or cancellations may no longer be possible once processing or production begins.

If we decline, change, or cancel an order, we will attempt to contact you using the information you supplied. Any amount due back to you will be refunded to the original payment method, subject to applicable payment-processing requirements.

Returns, replacements, and refunds are governed by our Refund Policy and any rights that cannot be excluded under applicable law.

Unless we agree otherwise in writing, purchases are intended for personal or household use rather than commercial resale or export.

SECTION 4 - PRICES AND BILLING

Prices and promotions may change. Your order confirmation will show the price charged for your purchase.

Unless expressly included, displayed prices do not include shipping, taxes, handling charges, customs duties, or import fees. Applicable checkout charges will be shown before you complete your purchase. Charges imposed separately by customs or other authorities may be your responsibility where applicable.

Prices offered through other channels may differ. A promotion may have its own conditions; those conditions control if they conflict with these Terms concerning that promotion.

You must keep your billing and account information accurate and current. By providing a payment method, you represent that you are authorized to use it and authorize the charges associated with your order.

SECTION 5 - SHIPPING AND DELIVERY

Products are made to order through our production and fulfillment partners, including Printful. Production time and shipping time are separate parts of the delivery process.

Delivery estimates are not guarantees. Carrier delays, customs processing, severe weather, peak demand, and other events may affect delivery. Any responsibilities or remedies required by applicable law remain in effect.

Subject to applicable law, title and risk of loss pass to you when the products are transferred to the carrier. This provision does not limit our stated commitments concerning damaged, defective, or incorrect products under our Refund Policy.

SECTION 6 - INTELLECTUAL PROPERTY

The website’s content and design—including text, graphics, photographs, artwork, logos, videos, and their arrangement—belong to Grateful Hoosier or the respective owners who have authorized their use. Applicable intellectual property laws protect that material.

You may use the Services for personal, noncommercial shopping and browsing. Except where permitted by law or with the relevant owner’s written permission, you may not copy, distribute, modify, republish, commercially exploit, or create derivative works from protected material.

Purchasing a product does not transfer ownership of the intellectual property appearing on it or grant a license to reproduce that artwork.

Grateful Hoosier’s names and identifying marks may not be used without permission. Shopify’s marks belong to Shopify, and other third-party marks remain the property of their respective owners.

SECTION 7 - OPTIONAL TOOLS

Some features may provide access to tools operated by third parties. We may not control, monitor, or contribute to those tools.

Unless we expressly state otherwise, third-party tools are offered on an “as is” and “as available” basis, without our endorsement or additional warranties. To the extent permitted by law, we are not responsible for losses arising from their operation or your use of them.

Review the relevant provider’s terms before using an optional tool. New features or tools added to our Services will also be subject to these Terms unless separate terms apply.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to external websites, embedded services, or other third-party material. A link does not necessarily mean that we endorse the destination or its content.

We do not control third-party websites and cannot guarantee their accuracy, availability, security, or practices. Review their terms and policies before submitting information or making a purchase.

Questions or disputes concerning a third party’s products, services, or transactions should be directed to that provider. Our responsibility remains subject to any requirements of applicable law.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

Grateful Hoosier is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Grateful Hoosier. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Grateful Hoosier, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Grateful Hoosier.

Information provided through the Services may be shared with Shopify, fulfillment providers, payment processors, and other service providers as described in the applicable privacy policies. Processing may occur in countries other than your own.

By using the Services, you acknowledge that you have had the opportunity to review these privacy policies.

SECTION 11 - FEEDBACK

If you submit reviews, suggestions, ideas, photographs, or other content to us, you give us a worldwide, ongoing, royalty-free, sublicensable license to use, reproduce, adapt, publish, distribute, and display that content in connection with operating, improving, and promoting our business and Services, including commercial use.

You retain any ownership rights you otherwise hold in your content. You represent that you have the necessary rights and permissions to submit it and grant this license.

You must disclose any payment, gift, discount, or other incentive associated with a review or endorsement where required. Submissions must be truthful and must not infringe another person’s intellectual property, privacy, or other rights.

Do not submit unlawful, abusive, defamatory, obscene, deceptive, or malicious content. Do not impersonate another person, use a misleading identity, or include harmful software.

Unless separately agreed, we do not promise to keep unsolicited feedback confidential, pay for it, or respond to it. We may moderate or remove submissions, but we are not obligated to review every submission. You remain responsible for the content you provide.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

Mistakes may occasionally appear in product descriptions, prices, promotions, availability, shipping charges, or delivery estimates.

We may correct inaccurate or incomplete information and update the Services. Where permitted by law, we may cancel an order affected by an error, including after submission. If a paid order is canceled, we will refund the amount owed to you.

Nothing in this section permits us to disregard consumer rights or other obligations imposed by applicable law.

SECTION 13 - PROHIBITED USES

You may use the Services only for lawful purposes and in accordance with these Terms.

You must not:

• Break applicable laws or regulations.

• Infringe intellectual property or other legal rights.

• Harass, threaten, abuse, defame, or impersonate another person.

• Submit false, deceptive, or misleading information.

• Send unsolicited advertising, spam, phishing messages, or similar material through the Services.

• Upload malware or otherwise damage, disrupt, or compromise the Services.

• Collect or track another person’s personal information without lawful authority.

• Copy, extract, resell, or commercially exploit the Services without permission.

• Use robots, scraping tools, automated extraction systems, AI agents, or other automated or manual means to access or extract the Services in violation of these Terms.

• Bypass access restrictions, authentication controls, robot-exclusion measures, or other security safeguards.

• Interfere with another person’s use of the Services or expose Grateful Hoosier, Shopify, or others to harm.

We may restrict access, suspend accounts, or terminate use of the Services when we reasonably determine that these requirements have been violated, subject to applicable law.

SECTION 14 - AGENTS

14.1 For this section, an “Agent” is software or a service that performs autonomous or semi-autonomous actions on behalf of a person or organization. This includes systems that act on instructions without direct supervision of each action.

14.2 This section imposes additional conditions on Agent activity. It does not itself grant permission for activity otherwise prohibited by these Terms. An Agent must stop accessing or interacting with the Services if we instruct it to stop.

14.3 We may use technical or other measures to control, limit, or prevent Agent access.

14.4 An Agent must identify itself in every HTTP or HTTPS request by including “Agent/[agent name]” in its user-agent string, replacing “[agent name]” with its actual name.

An Agent must not conceal its automated nature, impersonate a human user, or complete or bypass CAPTCHAs or other measures designed to distinguish human users from automated systems.

An Agent must answer truthfully when asked whether it is automated and must not evade restrictions governing its access or activity.

SECTION 15 - TERMINATION

We may suspend or end your access to the Services or terminate this agreement, subject to applicable law. Amounts properly owed before termination remain payable.

You may stop using the Services at any time.

Provisions that are intended to continue after termination will remain effective. These include provisions concerning intellectual property, feedback licenses, outstanding payment obligations, privacy, warranties, liability, indemnification, dispute-related terms, and any other provisions whose purpose requires continued effect.

SECTION 16 - DISCLAIMER OF WARRANTIES

We aim to provide useful and accurate information, but we do not guarantee that every part of the Services will always be complete, accurate, current, uninterrupted, secure, or free from errors.

Except for warranties or commitments we expressly provide, and to the extent permitted by law, the Services and products are supplied on an “as is” and “as available” basis.

To the extent the law allows, we disclaim implied warranties and conditions, including those concerning merchantability, fitness for a particular purpose, durability, title, and noninfringement.

These disclaimers do not exclude any warranty, guarantee, remedy, or consumer right that applicable law does not allow us to exclude. They also do not cancel an express commitment made in our Refund Policy or another applicable product warranty.

SECTION 17 - LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Grateful Hoosier and its owners, employees, affiliates, contractors, suppliers, and service providers, together with Shopify and its affiliates, will not be liable for indirect, incidental, consequential, special, exemplary, or punitive losses arising from use of the Services or products.

This includes, where exclusion is legally permitted, lost profits, revenue, savings, data, business opportunities, or replacement costs, whether a claim is based on contract, negligence, another tort, strict liability, or another legal theory, even if the possibility of that loss was disclosed.

Any broader exclusion or limitation applies only to the extent permitted by law. Nothing in these Terms excludes liability or restricts a remedy where doing so would be unlawful.

SECTION 18 - INDEMNIFICATION

To the extent permitted by law, you agree to protect and reimburse Grateful Hoosier, Shopify, and their respective affiliates, personnel, contractors, licensors, and service providers for third-party claims, liabilities, losses, and reasonable legal expenses arising from:

• Your breach of these Terms or policies incorporated into them.

• Your violation of applicable law or another person’s rights.

• Your unlawful or unauthorized use of the Services.

We will notify you of a claim for which we seek indemnification. A delay in notice will not remove your obligations unless it materially prejudices your ability to respond.

We may manage the defense and settlement of such a claim, including selecting counsel, at your expense where this indemnification applies. We will not agree to a settlement requiring you to perform a nonmonetary obligation without your consent, which must not be unreasonably withheld.

You agree to provide reasonable cooperation and relevant information in defending the claim.

SECTION 19 - SEVERABILITY

If a court or other competent authority finds a provision of these Terms unlawful or unenforceable, that provision will apply only to the extent legally permitted or will be treated as removed.

The remaining provisions will continue in effect to the extent permitted by law.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

If we do not immediately exercise a right or enforce a provision, that does not mean we have permanently waived it.

These Terms and the policies they incorporate form the agreement between you and Grateful Hoosier concerning the Services. They replace earlier communications or agreements addressing the same subject, except where a separate agreement expressly provides otherwise.

Any rule concerning interpretation against the drafting party applies only as required by applicable law.

SECTION 21 - ASSIGNMENT

You may not transfer your rights or obligations under these Terms to another person without our prior written consent.

We may transfer or assign our rights and obligations in connection with a business transfer, reorganization, or other lawful arrangement, subject to applicable law and without reducing any rights that the law preserves for you.

SECTION 22 - GOVERNING LAW

These Terms and any separate agreements through which we provide the Services are governed by the applicable laws of the jurisdiction where Grateful Hoosier is headquartered.

Subject to any mandatory consumer rights or other applicable legal requirements, you and Grateful Hoosier consent to the jurisdiction and venue of the state or federal courts serving that location.

Nothing in this section deprives you of protections or access to courts that cannot be excluded by agreement under applicable law.

Section headings are provided to make these Terms easier to navigate. They do not change the meaning or scope of the provisions beneath them.

SECTION 24 - CHANGES TO TERMS OF SERVICE

The current version of these Terms will be available on this page.

We may update these Terms as the business, Services, or legal requirements change. Where applicable law requires notice of a material change, we will provide that notice and identify when the change takes effect.

Your continued use of the Services after updated Terms become effective constitutes acceptance to the extent permitted by law. If you do not agree to the updated Terms, stop using the Services.
